Assignment Title: Financial Advisor Selection

The Ministry of Finance of Austria established a Trust Fund in November 2010 in the amount of US$ 7 million to support the Belarus privatization program for a duration of up to six years. The project is executed by the Government of Belarus under the administration and supervision of the World Bank. The objective of this project is to implement a small scale case-by-case privatization program in accordance with international best practices in order to attract strategic investors of either domestic or foreign origin. The National Agency of Investment and Privatization (NAIP) as the recipient of the funds intends to apply part of the proceeds for investment banking and consulting services.

The Financial Advisors hired by the NAIP and acting on its behalf will be responsible for the following services (“Services”):

•    Preparing the companies for privatization, including: company analysis, valuation, market assessment, development of privatization strategy and preparation of tender/sales documents.

•    Implementation of the pilot privatization, including: launching and managing the bidding process, facilitating the due diligence process, leading negotiations, preparing legal documents and monitoring and supporting the closing of the transaction(s).

NAIP invites investment banks/consulting firms (“Financial Advisors”) to indicate their interest in being registered in the Roster for providing the Services. Interested Financial Advisors should provide information demonstrating that they have the required qualifications and relevant experience and staff to perform the Services.

Based on the Request for Expression of Interest from October 2011, the NAIP has already made selection of the group of firms interested to participate in rendering financial advisory services in the Privatization program in Belarus. The selected firms have participated in the first round of privatization. Since, the second round of privatization will be launched soon, in order to expand the existing Roster, NAIP  invites the interested Financial Advisers to submit their expressions of interest to be included into the Roster. The firms already included in the Roster are not required to apply. The purpose of this announcement and request is to expand existing and not to create the new Roster.

The attention of interested Consultants is drawn to paragraph 1.9 of the World Bank’s Guidelines: Selection and Employment of Consultants by World Bank Borrowers published by the World Bank in January 2011 and revised in July 2014  (“Consultant Guidelines”), setting forth the World Bank’s policy on conflict of interest.

In order to be included into the Roster a Consultant should be reputable with international experience in privatisation in transition countries in the region, including experience with transactions for medium and medium-to-large sized enterprises and shall have dedicated team coverage with proficient team leader.
